Microsoft's 2025-10-28 announcement described its stake after OpenAI's recapitalization and changes to their commercial agreement. Microsoft said it held approximately 27 percent of OpenAI Group PBC on an as-converted diluted basis, including all owners. [1]
Separate ownership from service commitments
The announcement also said OpenAI contracted to buy an additional $250 billion of Azure services. That was a service-purchase commitment, separate from Microsoft's ownership stake. Microsoft would no longer have first refusal to supply OpenAI's compute. [1]
The companies described an independent expert panel to verify a future AGI declaration and set out different periods and conditions for intellectual-property rights. These were terms announced in October 2025, not proof that AGI had been achieved. [1]
The corporate structure is explained separately in OpenAI's recapitalization and IPO distinction.
When evaluating a service today, check its current contract and product terms. A historical partnership announcement does not establish your application's present hosting, data-handling or licensing rights.
