What the SpaceX and xAI deal changes
Separate corporate ownership news from the contracts and behavior of the API you use.

SpaceX announced that it had acquired xAI on February 2, 2026. A later SpaceX quarterly filing confirms that X.AI Holdings became a wholly owned subsidiary on that date. [1][2]
How the companies fit together
The filing records an earlier step: xAI acquired X Holdings in March 2025. The February transaction therefore brought an organization already connected to the X platform into SpaceX. The filing describes both combinations as share exchanges. [2]
That gives the announcement a concrete meaning: ownership changed through exchanges of shares. It does not mean SpaceX paid the headline combined valuation in cash.
Keep valuation separate from the transaction
The original post described a combined company worth more than $1 trillion. The short acquisition announcement does not provide that valuation or its calculation. Readers should keep a reported valuation separate from the confirmed acquisition date and ownership structure.
This article records the February transaction. Subsequent product releases, infrastructure plans and corporate changes need their own dated evidence rather than being treated as automatic consequences of that announcement.
